These Terms and Conditions (“Agreement”) govern your access to and use of the Cargo Adda platform, website, and related services (collectively, the “Services”). This Agreement is between Cargo Adda (“we,” “our,” or “us”) and you or the entity you represent (“you” or “your”).

By creating an account, clicking “I Agree,” or using the Services, you confirm that you have read, understood, and accepted these Terms and Conditions.

1. Authority to Enter into the Agreement

By using Cargo Adda, you confirm that:

• You are at least 18 years old and legally capable of entering into binding agreements under Pakistani law.
• If you are using Cargo Adda on behalf of a company, you have the authority to bind that company to this Agreement.

2. Use of the Services

a. General Use

You may access and use Cargo Adda only as permitted by this Agreement and any applicable product documentation or usage instructions.

b. Acceptable Use

You agree not to use Cargo Adda for any unlawful activity, data scraping, automated data collection, or any activity that may harm or disrupt our systems or other users.

c. Account Access

To use the Services, you must create an account with a valid email address and maintain accurate account details. You are responsible for keeping your login credentials confidential and for all activity under your account.

d. Automated Access

You may not copy or extract Cargo Adda data using automated scripts, crawlers, or bots without our written consent.

e. Directory

By using Cargo Adda, you allow your business contact details (such as company name, phone number, and location) to appear in our platform directory visible to verified users.

3. Orders, Fees, and Payment

a. Subscriptions and Orders

Access to Cargo Adda may require a paid subscription. The terms of your subscription, including price and duration, are outlined in your order confirmation or account dashboard.

b. Payments

All payments must be completed within the specified billing period. A payment reminder will be sent one week before the end of each month. If payment remains pending after seven days from the due date, a final warning will be issued. Continued non-payment following the warning may result in temporary account suspension until the balance is cleared.

c. Taxes

All prices are exclusive of applicable Pakistani taxes, including sales tax, GST, or other levies. You are responsible for paying any such taxes.

d. Disputed Bills

Any billing disputes must be raised in writing within 30 days of receiving the invoice.

4. Modifications to the Services

We may improve, modify, or discontinue parts of Cargo Adda from time to time. If we remove any major feature, we’ll provide at least 30 days’ notice unless immediate changes are required for security, technical, or legal reasons.

5. Data and Privacy

By using Cargo Adda, you agree to our Privacy Policy, which explains how we collect, use, and protect your information.

6. Term and Termination

a. Duration

This Agreement begins when you first use Cargo Adda and remains in effect until terminated.

b. Renewal

Unless otherwise stated, subscriptions automatically renew for the same term unless you cancel at least 30 days before renewal.

c. Termination for Cause

We may suspend or terminate your access if:

• You violate this Agreement;
• You misuse the platform or data; or
• You engage in fraudulent or harmful activity.

Upon termination, your right to use the Services ends immediately, and any unpaid fees remain due.

7. Shared Data

a. License

You grant Cargo Adda a non-exclusive, royalty-free license to use the business data you share (such as shipment details or truck listings) for operating and improving the platform.

b. Data Ownership

You retain ownership of your business data. However, you confirm that you have the right to share it with us and that it does not violate any third-party rights.

c. Restrictions

You may not reverse engineer, decompile, or copy any part of Cargo Adda or use our data to build or compete with our Services.

d. Suggestions

Any feedback or suggestions you provide may be used by us freely, without any obligation or compensation.

8. Cargo Adda Data and Non-Compete

a. License

We grant you a limited, non-transferable license to use the Cargo Adda platform and data for your internal business purposes.

b. Restrictions

You agree not to:

• Re-sell or distribute Cargo Adda data to third parties.
• Use Cargo Adda data to build or promote a competing TMS or load board.
• Manipulate or misuse load and truck data in any way.

c. Audit Rights

Cargo Adda reserves the right to audit your account if we suspect any misuse or violation of this Agreement.

9. Warranties

a. Our Warranties

We warrant that we have the legal right to provide these Services and that we will comply with applicable Pakistani laws.

b. Your Warranties

You warrant that:

• You will use Cargo Adda only for lawful business purposes.
• All data you submit is accurate and does not contain malware or harmful content.

c. Disclaimer

Cargo Adda is provided “as is.” We do not guarantee uninterrupted service, specific results, or that all information on the platform is error-free.

10. Limitation of Liability

Cargo Adda will not be liable for any indirect, incidental, or consequential damages, including loss of profits or data.

Our total liability will not exceed the amount you paid during your current subscription period.

11. Indemnification

You agree to indemnify and hold harmless Cargo Adda, its affiliates, and employees from any losses or claims arising out of your misuse of the platform, violation of this Agreement, or infringement of any third-party rights.

12. Confidentiality

You agree not to disclose any confidential information you receive through Cargo Adda except as required by law.

13. Governing Law and Dispute Resolution

This Agreement will be governed by and interpreted according to the laws of Pakistan. Any disputes shall be resolved exclusively in the courts of Lahore, Pakistan.

14. Force Majeure

Cargo Adda is not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, internet outages, strikes, or government restrictions.

15. Assignment

You may not transfer or assign your rights under this Agreement without our prior written consent. Cargo Adda may assign its rights as part of a business merger, sale, or restructuring.

16. Changes to the Agreement

We may update these Terms and Conditions from time to time. Updated terms will be posted on cargoadda.com, and continued use of the Services means you accept those updates.
